Emerson’s aggressive posture in pursuing Austin's National Instruments comes as it undergoes a transformation, shifting from a conglomerate structure into what it says is a “pure-play global automation company.”

But whether Emerson can close a deal remains to be seen. Prior to the recent announcement by Emerson, NI had announced it would explore strategic options following acquisition interest from other companies, while also adopting a so-called"poison pill" in the form of a shareholder rights plan"to protect the interests of the company and its shareholders.

In November, when Emerson unveiled its four adjacent target markets at its investor conference, Karsanbhai said test and measurement is a particularly attractive opportunity because it includes markets that are “highly differentiated from the markets that we traditionally have served,” namely the semiconductor, electric, and autonomous vehicle and aerospace industries.

Emerson said an acquisition would create the ability to lower administrative and R&D costs, while also improving NI’s innovation pipeline to have more success launching new products.Investors in NI and Emerson had contrasting reactions to news about a potential deal. NI’s shares closed Jan. 17 at $52.04, up nearly 11%, while Emerson’s stock slid nearly 7% to $91.24.
