In the memo and a deposition Lisowski gave last year, Lisowski said Chief Legal Officer and Senior Vice President Robert Reffner; Chief Ethics Officer Ebony Yeboah-Amankwah; and Lisowski himself were all aware of a $4.3 million payment to Randazzo that the company internally referred to as a termination payment related to a consulting contract. Both FirstEnergy and Lisowski say the company had no legal obligation make the payment ordered by Jones and Dowling.

FirstEnergy transferred the funds to Randazzo’s companies just after the new year. DeWine appointed Randazzo to the PUCO soon thereafter. Plaintiffs suing the company alleging securities fraud asked Lisowski in the deposition if he was concerned following the appointment.
